9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Dublin, Ireland, for the resolution of any disputes arising out of or relating to these Terms or your use of the Services.

10. Dispute Resolution

a. Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Dublin, Ireland, before a single arbitrator. The arbitration shall be administered by an arbitration institution selected by Citco Capital.

b. Class Action Waiver

All claims, disputes, or causes of action must be arbitrated individually, and not as a plaintiff or class member in any purported class or representative proceeding.

11. Privacy

12. Termination

We reserve the right to terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

These Terms constitute the entire agreement between you and Citco Capital regarding your use of the Services and supersede all prior and contemporaneous agreements, communications, and proposals, whether oral or written.

c. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Citco Capital’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

d. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.

e. Feedback

If you provide us with any feedback or suggestions regarding the Services, you hereby assign to Citco Capital all rights in such feedback and suggestions and acknowledge that Citco Capital shall have the right to use and fully exploit such feedback and suggestions in any manner it deems appropriate.
